Commercial Parking Agreement

Version 1.0 — Effective August 1, 2026 Parada® by Parada Technologies, Inc.
This Commercial Parking Agreement (the "Agreement") governs every booking of a commercial parking facility made through the Parada platform. By booking as a Driver, or by listing and operating a facility as a Commercial Operator, you agree to be bound by this Agreement in the version effective at the time of the booking, together with Parada's Terms and Conditions, Refund & Cancellation Policy, and Community Guidelines.

1. Overview

Parada Commercial Parking connects Drivers with businesses that operate parking facilities offering multiple bays. Parada operates the platform as an online marketplace under Republic Act No. 11967 (the Internet Transactions Act of 2023) and is not the operator of any facility. The parking arrangement is between the Driver and the Commercial Operator.

2. Parties

  • The Commercial Operator (the "Operator") — the verified business that owns or operates the parking facility, lists its capacity on Parada, and provides the parking. The Operator may use a dedicated operator account.
  • The Driver — the verified Parada user who books and pays for a bay at the facility.

Parada Technologies, Inc. (SEC Registration No. 2026060256331-09, 24 Sheridan Towers North, Buayang Bato, Mandaluyong City, Metro Manila, Philippines 1550) operates the platform and is not a party to this Agreement. See Section 15.

3. Operator Onboarding & Verification

As an online merchant under the Internet Transactions Act, the Operator must submit and keep current its legal or business name, address, contact details, and the business permits, registrations, and any licenses its facility requires, and Parada may verify this information before and after a facility goes live. Parada may suspend or remove a facility whose information cannot be verified or that breaches this Agreement or the law.

4. Bays, Capacity & Booking

A facility offers a pool of bays (its capacity). A Driver may book one or more bays for a window within the facility's stated availability. A booking is created when the Driver submits a request and the Operator approves it (which reserves the bays and generates the Driver's payment invoice), or, where a facility is configured for direct booking, when the Driver completes booking and payment. A facility remains browsable while it still has available bays. Because multiple requests may compete for the same pool, a bay is reserved only once the booking is approved (or directly booked) and paid.

5. Fees and Payment

The Driver's total, itemized at checkout, comprises:

All mandatory fees are shown before payment, and the amounts shown at checkout govern that booking. The Operator's posted or on-site rates must be consistent with the Listing (Section 7). Payments are made through Parada's accredited payment processor; off-platform payments are not recognized. Parada remits the Operator's share through its payout process, subject to any tax withholding required by law.

6. Driver Obligations

  • Park only in an authorized bay, within the booked window, and follow the facility's rules, signage, and staff instructions.
  • Observe height, weight, vehicle-type, and speed limits, and do not obstruct fire lanes, ramps, PWD slots, or exits.
  • Do not use the facility for any unlawful purpose or leave hazardous materials.
  • Retain any entry ticket or claim stub issued and present it on exit.
  • Secure the vehicle (lock it, activate alarms, remove valuables) unless the facility expressly provides an attended/valet custody service.

7. Operator Obligations & Warranties

The Operator represents, warrants, and undertakes that:

  • it holds the business permits and clearances required to operate the facility and complies with applicable LGU parking ordinances and rate rules;
  • the facility complies with the Fire Code (RA 9514) — including clear fire lanes and exits — and provides accessible parking for persons with disability where required by the Accessibility Law (BP 344);
  • displayed and on-site rates are accurate and consistent with the Listing, in line with DTI price-display rules, with no undisclosed charges;
  • the facility provides the lighting, security, and other features described in the Listing; and
  • it will honor confirmed bookings and provide a bay for each paid booking within the booked window.

8. Vehicle Risk & Custody

Liability for the vehicle depends on the service the facility actually provides:

  • Self-park facilities. Where the Driver parks and keeps the keys and the Operator does not take custody of the vehicle, the arrangement is a lease of space. The Driver assumes the risk of parking and secures the vehicle. The Operator is not a depositary of the vehicle or its contents (Civil Code Arts 1962–1998), but remains liable for loss or damage caused by the Operator's own negligence or willful misconduct.
  • Attended / valet facilities. Where the Operator (or its staff) takes possession of the vehicle or its keys, or issues a claim stub for the vehicle, the Operator acts as a depositary and is responsible for the vehicle's safekeeping under the Civil Code and applicable jurisprudence. A clause on a ticket that purports to exempt the Operator from liability for its own negligence in such a case is not enforceable.
No hidden waivers. Nothing in this Agreement or on any parking ticket excludes the Operator's liability for its own fraud, negligence, or willful misconduct, or any liability that cannot be excluded under Philippine law.

9. Overstay, Lost Ticket & Towing

Staying beyond the booked window without an approved extension may incur the facility's published overstay charges and, subject to the facility's rules and applicable LGU/MMDA regulations, towing or immobilization at the Driver's cost. Lost-ticket or lost-claim-stub situations are handled under the facility's published procedure, which must be reasonable and identity-verifying. Overstay and towing charges must be disclosed and are subject to Parada's dispute process where contested.

10. Cancellations & Refunds

The full rules are in the Refund & Cancellation Policy. For a Driver who cancels a paid booking before the start time, the refund of the Parking Fee is tiered; the Service Fee is never refunded.

  • Unpaid bookings may be cancelled free of charge.
  • Operator cancellation of a confirmed, paid booking (for example, if a bay cannot be provided) entitles the Driver to a refund of the amount paid, and the Operator may face platform-level remedies.
  • Refunds are reviewed and processed by the Parada team to the original payment method, typically within 3–10 business days; they are not automatic. RA 7394 rights are unaffected.

11. Incidents & Claims

A Driver who discovers loss or damage should report it to facility staff before leaving, document it (photos, the claim stub, and any incident report), and notify Parada. Claims are handled between the Driver and the Operator according to Section 8; Parada facilitates but does not adjudicate liability and does not insure any vehicle.

12. Force Majeure

Neither party is liable for failure or delay caused by events beyond its reasonable control, including typhoons, floods, earthquakes, fire, government orders, civil unrest, strikes, or power outages. Where such an event prevents use of the facility, the Driver is entitled to a refund of the unused Parking Fee through Parada's standard process.

13. Indemnification

Each party shall indemnify, defend, and hold harmless the other (and, where applicable, Parada) from third-party claims, losses, damages, liabilities, costs, and expenses (including reasonable attorney's fees) arising from that party's breach, negligence, or willful misconduct.

14. Limitation of Liability

To the maximum extent permitted by Philippine law, Parada's cumulative liability in connection with a booking is limited to the amount the Driver paid to Parada for that booking, and Parada is not liable for indirect, consequential, special, incidental, or punitive damages. This Section does not limit the Operator's responsibility for the vehicle under Section 8, nor any liability for death or personal injury caused by negligence, for fraud, gross negligence, or willful misconduct, or any liability that cannot be excluded under Philippine law, including RA 7394 consumer rights.

15. Parada as Marketplace

Parada operates a technology platform connecting Drivers and Operators. Parada is not a party to this Agreement, does not own, control, operate, or staff any facility, and does not provide parking, custodial, or insurance services. Parada's role is limited to listing the facility, facilitating booking, payment, and Operator payouts, and providing verification, support, and dispute facilitation. Consistent with the Internet Transactions Act, Parada verifies Operators to a reasonable degree, acts on valid takedown or complaint requests, and provides an internal redress mechanism.

16. Data Privacy

Parada's processing of personal information in connection with this Agreement is governed by Republic Act No. 10173 and Parada's Privacy Policy. Each party consents to the limited disclosure of booking details needed to fulfill the booking.

17. Electronic Acceptance

This Agreement is entered into electronically. In accordance with Republic Act No. 8792, electronic acceptance — including completing or approving a booking — has the same legal effect as a handwritten signature, and electronic records are admissible under the Rules on Electronic Evidence (A.M. No. 01-7-01-SC).

18. Governing Law

This Agreement is governed by and construed in accordance with the laws of the Republic of the Philippines.

19. Dispute Resolution & Venue

  1. Direct discussion via Parada messaging or email, in good faith.
  2. Parada-facilitated mediation. If unresolved within seven (7) calendar days, either party may request mediation at [email protected].
  3. Small Claims. Within the threshold under A.M. No. 08-8-7-SC, either party may file a small-claims case in the appropriate first-level court.
  4. Regular Courts. Otherwise, disputes may be brought before the competent courts of the Philippines, without limiting a consumer's recourse to the DTI. Venue lies in the court of competent jurisdiction where the facility is located, without prejudice to the rules on small-claims and consumer venue.

20. Severability & Entire Agreement

If any provision is held invalid, illegal, or unenforceable, the remaining provisions remain in full force, and the invalid provision is interpreted or replaced to achieve the original intent to the maximum extent permitted by law.

This Agreement, together with the Parada Terms and Conditions, Refund & Cancellation Policy, Privacy Policy, and the booking confirmation, constitutes the entire agreement between the Operator and the Driver for the booking.
