Terms and Conditions

Version 3.0 — Effective August 1, 2026 Also referred to as the Parada User Agreement Parada® by Parada Technologies, Inc.
These Terms and Conditions (the "Terms" or "User Agreement") form a binding agreement between you and Parada Technologies, Inc. ("Parada", "we", "us", or "our"), governing your access to and use of the Parada platform across all of its services. By creating an account or using our Services you accept these Terms in accordance with Republic Act No. 8792 (the Electronic Commerce Act of 2000). Please pay particular attention to Section 20 (Disclaimers & Limitation of Liability) and Section 26 (Dispute Resolution & Governing Law).

1. Overview & Our Role

Parada operates an online marketplace — a "superapp" — that connects users who need parking, vehicles, or storage with the individuals and businesses who provide them across the Philippines. Depending on availability, our Services currently span four verticals: Shared Residential Parking, Commercial Parking, Peer-to-Peer Car Rental, and Parada Storage (see Section 4).

Parada is a technology platform and online marketplace within the meaning of Republic Act No. 11967 (the Internet Transactions Act of 2023). Except where we expressly state otherwise, we provide the platform; we do not own, manage, lease, operate, drive, insure, or supply the parking spaces, vehicles, or storage spaces listed on it. The provider (Owner, Host, or Operator) is the seller of record for each transaction and is primarily responsible to you for it. Our role, our accountability, and the limits of our liability are described in Sections 18 and 20.

These Terms govern your access to and use of the Parada website at www.parada.ph, the Parada mobile applications, and related services that link to or reference these Terms (collectively, the "Services"). Read them together with our Privacy Policy, the vertical-specific agreements listed in Section 5, the Refund & Cancellation Policy, and the Community Guidelines & Safety Policy. If there is any conflict between these Terms and a vertical-specific agreement on matters relating to a specific booking, the vertical-specific agreement controls for that booking.

2. Acceptance & Eligibility

By creating a Parada account, listing a space or vehicle, booking, or otherwise using the Services, you confirm that:

  • You have read and understood these Terms and agree to be bound by them.
  • You are at least eighteen (18) years old and have the legal capacity to enter into binding agreements under Philippine law.
  • You will use the Services only for lawful purposes.
  • The information you provide to Parada is true, accurate, current, and complete.
  • If you accept these Terms on behalf of a company or other legal entity, you have the authority to bind that entity to them.

If you do not meet these requirements, or do not agree with any part of these Terms, you must not use the Services. Certain verticals impose additional eligibility conditions (for example, a verified driver's license for Car Rental) described in the relevant agreement.

In line with Republic Act No. 8792 (Electronic Commerce Act) and the Rules on Electronic Evidence (A.M. No. 01-7-01-SC), your electronic acceptance — including by clicking "Sign Up," "Continue," "Pay," "Confirm," "I Agree," or similar buttons or checkboxes within the Services — has the same legal effect as a handwritten signature and is admissible as evidence in Philippine courts and tribunals. Parada keeps records of the version of the Terms and other documents you accepted, together with the associated account and timestamp.

3. Definitions

  • "Platform" means the Parada website, mobile applications, and related digital services.
  • "User" means any individual who accesses or uses the Platform.
  • "Renter" is the general term for a User who searches for, requests, books, or pays for a service. Depending on the vertical, a Renter may also be called a "Driver" (parking) or "Guest" (car rental).
  • "Provider" is the general term for a User or business that lists and supplies a service. Depending on the vertical, a Provider may be a "Parking Owner," a "Host" (car rental or storage), or a "Commercial Operator."
  • "PMO" / "BMO" means a Property or Building Management Office, homeowners' association, or building administrator that partners with Parada to help verify residents and enforce property-specific rules.
  • "Listing" means a specific offer to provide a space or vehicle published by a Provider on the Platform.
  • "Booking" means a Renter's request and a Provider's acceptance (or a direct booking of an always-available space) for the use of a Listing on specified dates and at agreed rates.
  • "Services" include account creation, verification, listing, search, booking, on-demand requests, payments, in-platform messaging, notifications, ratings, and related features across all verticals.
  • "Service Fee" / "Platform Fee" means the fee Parada charges, as described in Section 10.
  • "Payment Processor" means Xendit and its acquiring partners, or any other licensed payment gateway Parada engages to process payments.
  • "Content" means all text, images, photos, videos, ratings, reviews, messages, and other materials uploaded, posted, or transmitted through the Platform.

4. Our Services & Verticals

Parada is rolling out several services. Some are available only in selected locations, communities, or to selected users, and Parada may enable, disable, or limit any vertical, feature, or listing at any time. These Terms apply to each vertical where and to the extent the service is available to you. Each vertical is also governed by its own bilateral agreement between you and the Provider:

  • Shared Residential Parking — booking underutilized private parking spaces within residential and mixed-use properties. Governed by the Parking Space Agreement.
  • Commercial Parking — booking bays at commercial parking facilities operated by businesses. Governed by the Commercial Parking Agreement.
  • Peer-to-Peer Car Rental — renting privately owned vehicles from Hosts, on a self-drive or with-driver basis. Governed by the Car Rental Agreement.
  • Parada Storage — renting storage space from Hosts. Governed by the Storage Agreement.

A reference to a vertical in these Terms has effect only while and where that vertical is offered. Nothing in these Terms is a promise that any particular vertical, feature, listing, or location is or will remain available.

5. Other Terms That Apply

In addition to these Terms, the following Parada documents apply to your use of the Services and are incorporated by reference:

  • Privacy Policy — how Parada collects, uses, stores, and shares your personal data under the Data Privacy Act of 2012 (RA 10173).
  • Refund & Cancellation Policy — the consolidated, per-vertical rules on cancellations, refunds, and their timing.
  • Community Guidelines & Safety Policy — the conduct and safety standards that apply to every User, and the enforcement ladder for breaches.
  • Parking Space Agreement, Commercial Parking Agreement, Car Rental Agreement, and Storage Agreement — the bilateral agreements that govern each booking between a Renter and a Provider. By completing or accepting a booking, both parties agree to the version of the relevant agreement in effect at the time.
  • Payment Processor Terms — payments are processed by Xendit, whose terms apply to the financial transaction itself. Parada is not a party to those terms.
  • Property, Facility & PMO Rules — PMOs, building administrators, and commercial operators may impose additional rules for access, conduct, vehicle types, hours, and security. You agree to abide by those rules in addition to these Terms.

6. Accounts, Roles & Verification

6.1 Sign-up

You may register for a Parada account using your email address and a password, or by using a supported single-sign-on provider (currently Google, Facebook, or Apple). Registration is currently free of charge. At sign-up you choose the role that describes how you intend to use Parada; the available roles reflect the verticals above (for example, resident/renter, parking owner, car host, storage host, or commercial operator).

6.2 One account, multiple roles

A single Parada account may hold more than one role. If you start as a Renter and later wish to also list a space or a vehicle, you can add the relevant role to the same account through the in-app onboarding flow — you do not need to create a second account. Each role may require its own verification before its features unlock. You must not hold more than one active registration for the same person; Parada may merge or close duplicate accounts.

6.3 Email verification

Every new account — regardless of sign-up method — must verify the email address on file before using core platform features. Parada sends a verification link valid for twenty-four (24) hours; you may request a new link if it expires.

6.4 Verification is per-vertical

Different Services require different verification, and Parada requests only what a given activity needs:

  • Basic accounts. A renter-type account activates on email verification and may browse and use features that do not require documentary proof.
  • Residency & parking verification. To book or list within a participating residential community, you may need to complete residency verification by uploading the documents Parada requests (for example, a government-issued ID, resident or tenant ID, proof of billing, lease or title, or a slot-assignment or authorization letter). Parada reviews these submissions and, in participating communities, coordinates with the relevant PMO to cross-check residency, tenancy, or ownership records. A booking or listing is enabled per property once the corresponding residency is confirmed; a single account may hold and use several confirmed residencies.
  • Identity (KYC) for Car Rental. To rent or host a vehicle you must complete identity verification, which includes a valid driver's license and the other information described in the Car Rental Agreement and Privacy Policy.

Verification decisions may be made by Parada, by a partner PMO acting within its community (for residency), or by both. Parada may re-check, suspend, or revoke a verification at any time if information cannot be confirmed or appears false. Verification is not a guarantee of any User's identity, character, or conduct.

Data Privacy Act (RA 10173) compliance. Verification documents are sensitive personal information. They are transmitted over encrypted channels and stored in access-controlled storage; reviewers operate under role-based access and a documented purpose limitation; and verification data is used only to establish eligibility, never for marketing. You may exercise your data-subject rights at any time as described in the Privacy Policy or by emailing [email protected].

6.5 Account security

You are responsible for keeping your login credentials confidential and for all activity under your account. After repeated failed login attempts your account is temporarily locked to deter brute-force attacks. Notify [email protected] immediately if you suspect unauthorized access. You may not allow others to use your account or impersonate any other person.

7. User Obligations

  • Provide accurate, complete, and current information and keep your account details up to date.
  • Comply with all applicable laws, ordinances, regulations, and property, facility, or PMO rules where you park, drive, store, or list.
  • Treat other Users and Parada staff with respect; do not engage in harassment, discrimination, or abusive behavior (see the Community Guidelines).
  • Use only the in-Platform messaging and payment flows; do not solicit or accept off-platform payments, deposits, or bypass arrangements.
  • Do not list, book, or use any space or vehicle for an unlawful purpose, or in a way that obstructs fire lanes, accessibility routes, or restricted areas.
  • Providers: ensure your Listings accurately describe what you offer, that you have lawful authority to offer it, and that you keep availability and pricing current.
  • Renters: use only what you booked, within the booked window, and follow all access and safety instructions.

8. Listings, Bookings & Contract Formation

8.1 Listings

Once your space or vehicle is verified and active, you may publish Listings for it. Each Listing specifies the relevant dates, times, rate type, price, and any conditions. You are responsible for ensuring that Listings do not conflict and that the information is accurate at the time of publication.

8.2 How a booking is formed

For most Listings, a booking is created when a Renter submits a request and the Provider approves it; the reservation is secured only when the applicable payment is completed. Some parking spaces are marked "always available" and may be booked directly without a separate approval step; for those, the contract forms when the Renter completes the direct booking and payment. In every case, the binding agreement for the transaction is the relevant vertical agreement (Section 5), and the booking confirmation records the parties, dates, and price.

8.3 Booking lifecycle

A booking moves through statuses such as Requested/BookedApprovedPaidActiveCompleted, and may be Declined, Cancelled, or Expired. Until it is paid, a slot or vehicle is not reserved. In Shared Parking, if an Owner declines a specific booking, Parada may convert the request into an on-demand request that other compatible Owners in the same property may accept; you will be notified of any such conversion.

8.4 Residence-based scope (Shared Parking)

Shared Parking bookings are scoped to a confirmed residency. You may book or list within any community for which your account holds a confirmed residency, and you can add further residencies through the in-app residency-verification flow. You do not need a separate account to use more than one community.

9. Provider & Host Terms

If you list a space or vehicle, you are an online merchant on our marketplace and the seller of record for your transactions. In addition to the vertical agreement, you agree that:

  • You will submit and keep current the legal name, contact details, address, and any licenses, permits, registrations, or insurance that your activity requires, and that Parada may verify this information before and after your Listing goes live (Internet Transactions Act, RA 11967).
  • You have the lawful right and authority to offer what you list, and your Listing complies with applicable property, building, LGU, and safety rules.
  • You are responsible to the Renter for the service itself, including its condition, safety, and availability, and for honoring confirmed bookings.
  • You will receive your share of booking proceeds through Parada's payout process (Section 10) and will cooperate with tax requirements (Section 11).
  • Parada may suspend or remove a Listing whose information cannot be verified, that breaches these Terms or the law, or that is the subject of a valid complaint or government order.

10. Payments, Fees & Payouts

10.1 Payment processor

Online payments are processed by Xendit, a payment gateway operating in the Philippines, through a Parada-issued invoice or checkout page. Supported channels include debit/credit cards, GCash, Maya, online banking, and other methods Xendit makes available. Parada does not store full card numbers or CVV details. Parada is a technology platform, not a bank, e-money issuer, or financial institution, and does not hold, pool, or act as an escrow for your funds under Republic Act No. 11765; funds flow through the licensed Payment Processor.

10.2 Fees and total price

Parada charges a Service Fee (also called the Platform Fee) on bookings, together with any applicable taxes and Provider-set charges. All mandatory fees, charges, and taxes are itemized and shown in your total before you pay. For Shared Parking, the current Service Fee is 10% of the parking fee. Fees for other verticals are set out in the relevant vertical agreement and shown at checkout. The amounts shown at checkout govern that booking, and some fees are configurable and may change for future bookings.

10.3 Provider payouts

Providers receive their share of booking proceeds through Parada's Disbursements/Payout process. Payouts are settled by Parada (for Shared Parking, oldest completed bookings are settled first), subject to verification of bank details, resolution of any active dispute or refund, and any withholding required by law (Section 11). Payout emails may include a business report of the settled bookings.

10.4 No off-platform payments

Payments for a Parada booking must be made only through a Parada-issued invoice or checkout. Off-platform payments, deposits, or "bypass" arrangements are not recognized, are made at your own risk, and are a breach of these Terms.

11. Taxes & Withholding

Each party is responsible for its own taxes arising from transactions on the Platform, including income tax and any applicable VAT or percentage tax. Where the Bureau of Internal Revenue (BIR) requires a marketplace to withhold tax on remittances to sellers — currently a creditable withholding tax on online-marketplace payouts under Revenue Regulations No. 16-2023, as clarified by subsequent issuances — Parada may withhold and remit the required amount and issue the corresponding certificate (BIR Form 2307).

As a condition of receiving payouts, Providers agree to keep their BIR registration and taxpayer information current, to submit the documents Parada reasonably requests (including any sworn declaration of gross remittances that supports an exemption from withholding), and to allow Parada to share registration and transaction data with the BIR and the DTI as required by law. Absent the required declaration, Parada may withhold by default.

12. Cancellations, Refunds & Extensions

Cancellation and refund rules differ by vertical and are set out in full in the Refund & Cancellation Policy and each vertical agreement. In summary:

  • Renter cancellations before a Provider approves a request are generally free.
  • Renter cancellations after payment are refunded on a tiered basis by how far ahead of the start time you cancel; Service/Platform Fees, taxes, and add-on protection fees are non-refundable. The exact tiers are in the Refund & Cancellation Policy.
  • Provider cancellation of a confirmed, paid booking is treated as a service failure: the Renter is entitled to a refund of the amount paid, and Parada may apply platform-level remedies against the Provider.
  • Extensions may be requested through the app before a booking ends, subject to Provider approval and a new invoice for the additional period, within the limits stated in the relevant vertical agreement.

Refunds are reviewed and processed by the Parada team, not automatically. Approved refunds are returned to the original payment method through the Payment Processor and typically take 3–10 business days to appear, depending on the channel and bank. Nothing here limits your statutory right to a refund for a service that is defective or not delivered (Section 23).

13. Promo Codes & Marketing

13.1 Promo codes

Parada may offer promotional codes. Each code has its own mechanics — for example, waiving or discounting the Service Fee, discounting the booking fee, or waiving a set number of hours — and its own conditions, which may limit it to particular verticals, rate types, properties, or dates, and cap it to one use per user and to a total number of uses. Codes have no cash value, cannot be exchanged for cash, and may be withdrawn or disabled for future bookings. Discounts are applied to eligible bookings only, and any refund is calculated on the amount actually paid.

13.2 Marketing communications

We may send you service messages (about your bookings, security, and account) and, unless you opt out, promotional messages about Parada. You can opt out of marketing at any time using the unsubscribe link in our emails or your account settings; opting out does not stop essential service messages. See the Privacy Policy for details.

14. Ratings & Reviews

After a completed booking, Users may rate and review each other. Reviews must reflect a genuine experience and must not be false, defamatory, or used to harass, coerce, or extract benefits. Reviews may be published on the Platform showing your first name and last initial (for example, "Juan D."). Parada may moderate, refuse, or remove reviews that violate these Terms, the Community Guidelines, or the law, but does not otherwise guarantee the accuracy of any review.

15. In-Platform Communications

Parada provides an in-platform messaging system between Renters and Providers connected by a booking. Message bodies are encrypted at rest on our servers using AES-256-GCM. This is not end-to-end encryption: Parada can decrypt messages, and authorized administrators may access message content when necessary to investigate abuse, fraud, safety concerns, or legal requests. Such access is logged for audit. To keep users safe and on-platform:

  • Keep booking-related communications within the in-platform chat.
  • The system automatically detects and blocks messages and attachment filenames that appear to share phone numbers, as an anti-circumvention and safety measure. Attempts to move payments or communications off-platform, or to refer users to competing services, are prohibited and may be enforced manually.
  • Do not send spam, unsolicited promotions, or harassing messages.

Chat sessions tied to a booking close a short time after the booking ends, after which they become read-only for reference.

16. AI Assistant & Automated Tools

Parada offers an AI-powered support assistant (chatbot) and may use automated tools to help operate the Services (for example, to power search suggestions or address autocomplete). When you use the chatbot, the messages and any images or documents you attach are processed by a third-party AI provider (Anthropic) to generate a reply, as described in the Privacy Policy. The chatbot provides general assistance only; its answers may be incomplete or inaccurate and are not legal, financial, or professional advice, and do not bind Parada. You can always ask to be escalated to a human. Do not submit information to the chatbot that you do not want processed for support purposes.

17. Prohibited Use

You agree not to:

  • Use the Platform for any unlawful, fraudulent, deceptive, or harmful purpose.
  • Post or transmit content that is illegal, defamatory, obscene, discriminatory, or that infringes any third party's rights.
  • List or use spaces or vehicles that you have no lawful authority to offer or occupy.
  • Circumvent the Platform's payment flow (for example, by accepting off-platform payments or kickbacks).
  • Interfere with or disrupt the Platform, including by introducing viruses or exploits, scraping, or making excessive automated requests.
  • Reverse-engineer, decompile, or attempt to extract the source code or trade secrets of the Platform, except as expressly permitted by law.
  • Use the Platform in a manner that violates Republic Act No. 10175 (the Cybercrime Prevention Act of 2012), including unauthorized access, identity theft, or data interference.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

Parada may suspend or terminate accounts that violate this section and may report violations to the appropriate authorities.

18. Platform Accountability & Redress (RA 11967)

As an online marketplace under the Internet Transactions Act (RA 11967), Parada takes the following commitments seriously and does not seek to disclaim them:

  • Provider verification. We take reasonable steps to verify Providers and to maintain current records of the merchants on our Platform, and we may disclose a Provider's contact and registration details to you or to a government agency where the law requires or permits.
  • Notice and takedown. We will act to remove Listings that are unlawful, unsafe, infringing, or subject to a valid government takedown order, on becoming aware of them.
  • Internal redress. We provide a complaint and mediation mechanism (Section 26). If you raise a complaint and it is not resolved within a reasonable time (and in any event within seven (7) calendar days of escalation to Parada), you may treat our internal process as exhausted and pursue the external remedies below.
  • External remedies. Nothing in these Terms prevents you from seeking redress through the Department of Trade and Industry (DTI) E-Commerce Bureau, other competent regulators, alternative or online dispute resolution, or the courts.

Where the law imposes subsidiary or solidary liability on a marketplace that fails to meet these duties, that liability applies according to its terms; this Section is not a waiver of it.

19. Intellectual Property

19.1 Parada's rights

The Platform — including its software, designs, logos, trademarks (including "Parada®"), text, graphics, and other content created by Parada — is owned by Parada Technologies, Inc. or its licensors and is protected by Philippine and international intellectual property laws, including Republic Act No. 8293 (the Intellectual Property Code of the Philippines). Nothing in these Terms transfers any of Parada's intellectual property rights to you.

19.2 Your content

You retain ownership of content you submit (for example, photos, reviews, descriptions). By submitting it, you grant Parada a non-exclusive, royalty-free, worldwide license to host, store, reproduce, display, and process that content for the purpose of operating and improving the Services, and you represent that you have all necessary rights to grant this license.

20. Disclaimers & Limitation of Liability

20.1 Marketplace role

Parada is a technology platform that facilitates transactions between Renters and Providers. Except where expressly stated, we are not a party to the underlying arrangement, and we do not own, lease, manage, operate, drive, supervise, insure, or control any space or vehicle listed on the Platform. The right to park, drive, or store is granted by the Provider, not by Parada.

20.2 No warranty of vehicle or property security

Except where a Provider expressly takes custody of a vehicle or goods (for example, an attended commercial facility), neither Parada nor any Provider acts as a depositary (custodian) of any vehicle, its contents, or stored goods under Civil Code Articles 1962–1998. Renters use the Services at their own risk and are responsible for securing their vehicle and property. This does not exclude liability for a party's own proven negligence or willful misconduct.

20.3 "As is" and "as available"

To the maximum extent permitted by Philippine law, the Services are provided on an "as is" and "as available" basis. Parada makes no warranties — express, implied, or statutory — except those that cannot be excluded by law, and does not guarantee that the Services will be error-free, secure, or continuously available.

20.4 Limitation of liability

To the maximum extent permitted by Philippine law, Parada's total cumulative liability to you in connection with any booking is limited to the total amount you paid to Parada for that specific booking. Parada is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, business, goodwill, or data.

Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under Philippine law, including liability for death or personal injury caused by negligence, fraud, gross negligence, willful misconduct, or violation of consumer-protection laws.

21. Indemnification

You agree to indemnify, defend, and hold harmless Parada, its directors, officers, employees, agents, and affiliates from and against any claims, demands, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your breach of these Terms; (b) your violation of any law, regulation, or third-party right; (c) your misuse of the Services; or (d) any dispute between you and another User. Parada may assume the exclusive defense of any matter for which you must indemnify us, in which case you agree to cooperate.

22. Privacy & Data Protection

Parada processes personal data in accordance with our Privacy Policy and the Data Privacy Act of 2012 (RA 10173), its Implementing Rules and Regulations, and issuances of the National Privacy Commission (NPC). By using the Services, you acknowledge that you have read the Privacy Policy. You may exercise your rights as a data subject by contacting our Data Protection Officer at [email protected].

23. Consumer Rights (RA 7394)

Nothing in these Terms limits the consumer-protection rights granted to you under Republic Act No. 7394 (the Consumer Act of the Philippines), its implementing rules, or other applicable consumer-protection laws, including your rights to redress for defective or substandard services. Any cancellation or refund tier in these Terms or the Refund & Cancellation Policy operates alongside, and does not replace, those statutory rights. These Terms contain no "no return, no exchange" rule.

If you believe Parada or another User has violated your rights as a consumer, you may seek redress through the DTI or other competent authorities, in addition to the Platform's internal process in Section 26.

24. Force Majeure

Parada is not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, typhoons, earthquakes, floods, fires, epidemics or pandemics, civil disturbances, governmental orders, labor disputes, internet or telecommunications outages, or failures of third-party services such as payment processors or cloud providers. Where a booking is affected by a force-majeure event, the refund and rescheduling rules in the relevant vertical agreement and the Refund & Cancellation Policy apply.

25. Term, Suspension & Appeals

These Terms apply from the moment you first access or register on the Platform and continue until your account is closed.

25.1 Closure by you

You may close your account at any time through the account-deletion option in your settings or by emailing [email protected]. Closure takes effect once confirmed. Some data may be retained as described in our Privacy Policy for legal, accounting, tax, or fraud-prevention purposes.

25.2 Suspension or closure by Parada

We may suspend or terminate your access, with or without prior notice, if we reasonably believe you have breached these Terms or the law, posed a safety or security risk, or engaged in fraud, abuse, or repeated complaints. Where reasonable and lawful, we will give notice and an opportunity to respond.

25.3 Appeals

If your account or a Listing is restricted, suspended, or terminated, you may appeal by emailing [email protected]. We will review appeals in good faith and respond within a reasonable time. The Community Guidelines describe the enforcement ladder and appeal process in more detail.

25.4 Surviving provisions

Sections 19 (Intellectual Property), 20 (Disclaimers & Limitation of Liability), 21 (Indemnification), 22 (Privacy), 26 (Dispute Resolution), and any provision that by its nature should survive, survive termination.

26. Dispute Resolution & Governing Law

26.1 Governing law

These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict-of-laws principles.

26.2 Three-step dispute resolution

Before initiating legal action, the parties agree to attempt resolution in this sequence:

  1. Direct communication between the affected Users via in-platform messaging, in good faith.
  2. Parada mediation. If direct communication does not resolve the matter within seven (7) calendar days, either party may escalate to Parada at [email protected]. Parada will review in good faith and may issue a recommendation, refund decision, or other platform-level action. Parada acts as a facilitator and is not obliged to render a binding decision.
  3. Small Claims or regular courts. If the dispute remains unresolved, either party may file a small-claims case under the Rules of Procedure for Small Claims Cases (A.M. No. 08-8-7-SC) where within the threshold; otherwise, the dispute may be brought before the regular courts of competent jurisdiction.

26.3 Venue

Subject to the rules on small-claims and consumer venue and to any mandatory venue for a specific vertical agreement, the parties submit to the exclusive jurisdiction of the courts of Mandaluyong City, Metro Manila, for disputes arising out of these Terms — without limiting Parada's right to bring proceedings where you or your assets are located, and without prejudice to your statutory right to sue in your place of residence where the law so allows.

27. Updates to these Terms

Parada may update these Terms from time to time to reflect changes in the Services, applicable law, or business practices. Material updates will be communicated by reasonable means, such as a notice on the Site or an email to your registered address, and prior versions are archived. The version effective at the time of your interaction governs that interaction.

Tip: The current version and effective date are shown at the top of this page. Your continued use of the Services after an update constitutes acceptance of the updated Terms. If you do not agree with a change, you may stop using the Services and close your account.

28. Severability & Miscellaneous

  • Severability. If any provision is held invalid, illegal, or unenforceable, the remaining provisions continue in full force, and the invalid provision is modified to the minimum extent necessary to make it valid and enforceable.
  • No waiver. Parada's failure to enforce any provision is not a waiver of our right to do so later.
  • Assignment. You may not assign your rights or obligations without Parada's prior written consent. Parada may assign these Terms to any affiliate or successor in connection with a corporate transaction.
  • Entire agreement. These Terms, together with the Privacy Policy, the Refund & Cancellation Policy, the Community Guidelines, and the applicable vertical agreements, constitute the entire agreement between you and Parada regarding the Services.
  • Notices. Notices to you may be given by email to the address on file or by posting on the Site. Notices to Parada must be sent to [email protected].
  • Language. These Terms are drawn up in English; the English version prevails over any translation.
  • Compliance with applicable laws. These Terms are intended to comply with, and be interpreted consistently with, the Civil Code of the Philippines, RA 7394 (Consumer Act), RA 8792 (E-Commerce Act), RA 11967 (Internet Transactions Act), RA 10173 (Data Privacy Act), RA 11765 (Financial Products and Services Consumer Protection Act), RA 10175 (Cybercrime Prevention Act), and RA 8293 (Intellectual Property Code), together with their implementing rules.
