Parking Space Agreement
1. Overview
This Agreement is a license to occupy a designated parking space for a defined period. It is not a lease of real property in the sense of Articles 1642 to 1688 of the Civil Code of the Philippines, and creates no tenancy, possessory, or proprietary right in favor of the Driver. The Owner retains full ownership, possession, and control of the parking space and the surrounding premises at all times.
2. Parties
The parties to this Agreement are:
- The Parking Space Owner (the "Owner") — the verified Parada user who has listed the parking space and accepted the booking (or who has published an always-available space).
- The Driver (the "Driver" or "Renter") — the verified Parada user who has booked the parking space and paid the applicable fees.
The identities of the Owner and Driver for a specific booking are reflected in the booking confirmation and receipt accessible to both parties. Parada Technologies, Inc., a corporation duly organized under the laws of the Philippines with SEC Registration No. 2026060256331-09 and principal office at 24 Sheridan Towers North, Buayang Bato, Mandaluyong City, Metro Manila, Philippines 1550 ("Parada"), operates the platform as an online marketplace under Republic Act No. 11967 (the Internet Transactions Act of 2023) and is not a party to this Agreement. See Section 17.
3. Subject of the Agreement
The Owner grants the Driver a temporary, non-exclusive, revocable license to park a single registered vehicle in the parking space identified in the booking confirmation, during the booking period, and subject to this Agreement and any building or property rules applicable to the premises.
4. How a Booking Is Formed
Depending on the Listing, a booking is formed in one of two ways:
- Request-and-approval. The Driver submits a booking request; the Owner approves it; and the booking becomes binding upon successful payment of the full amount through Parada. Until approval and payment, no slot is reserved.
- Always-available direct booking. Where a space is marked "always available," the Driver may book it directly without a separate approval step. The Agreement forms when the Driver completes the direct booking and payment.
A booking progresses through statuses such as Booked/Requested → Approved → Paid → Active → Completed, and may be Declined, Cancelled, or Expired. If the Owner declines a specific request, Parada may convert it into an on-demand request that other compatible Owners in the same property may accept, and the Driver will be notified.
5. Booking Term & Extensions
The booking period begins and ends on the dates and times stated in the booking confirmation. The Driver shall vacate the parking space on or before the end time. An extension requires an approved extension request through the platform and payment of a new invoice for the additional period; the Owner may decline an extension, including where the space is needed for a succeeding booking.
6. Fees and Payment
The Driver pays the parking fee plus Parada's Service Fee (10% of the parking fee) and any applicable charges, all itemized at checkout. Rates depend on the rate type — hourly (a flat rate for a base period plus an overage rate for additional hours) or daily, weekly, or monthly — as set by the Owner. A valid promotional code may reduce the Service Fee or the parking fee as described at checkout and in the Terms and Conditions.
All payments are made through Parada's accredited payment processor. Payments made outside of the Parada platform are not recognized under this Agreement and are made at the Driver's sole risk. The Owner shall not solicit or accept off-platform payment for any booking facilitated through Parada.
7. Use of the Parking Space
The Driver shall:
- Use the parking space solely to park the registered vehicle disclosed during booking;
- Comply with all reasonable instructions from the Owner and with the building, subdivision, or property rules applicable to the premises;
- Park within the marked lines of the assigned space and not obstruct adjacent spaces, driveways, fire lanes, or pedestrian paths;
- Not use the parking space for any unlawful purpose, for storage of hazardous materials, for vehicle repair (other than emergency repair), or for any commercial activity not authorized in writing by the Owner; and
- Not transfer access credentials, RFID tags, gate passes, or keys to any third party.
8. No Sub-letting or Assignment
The Driver may not sub-let, share, assign, or otherwise transfer the right to use the parking space, in whole or in part, to any third party. Any such attempted transfer is void and is grounds for immediate termination of the booking without refund.
9. Owner Warranties & Residency
The Owner represents and warrants that:
- the Owner has the lawful right and authority to offer the parking space, including any required consent of the property, building, or homeowners' association;
- the Listing is accurate as to location, dimensions, vehicle-type fit, access requirements, and availability, and the space is not double-booked; and
- the Owner will comply with all applicable PMO and property rules.
Shared parking is scoped to a confirmed residency: both parties access the space within a community for which their Parada account holds a confirmed residency. A single account may hold several confirmed residencies added through the in-app residency-verification flow.
10. Cancellations, No-Shows & Refunds
The full cancellation and refund rules are in the Refund & Cancellation Policy. In summary, for a Driver who cancels a paid booking before the start time, the refund of the parking fee is tiered by how far ahead the cancellation is made. The Service Fee is never refunded.

- Unpaid bookings (Booked/Requested/Approved but not yet paid) may be cancelled free of charge.
- Owner cancellation of a confirmed, paid booking is a service failure: the Driver is entitled to a refund of the amount paid for that booking, and Parada may apply platform-level remedies against the Owner.
- Refunds are reviewed and processed by the Parada team back to the original payment method and typically take 3–10 business days after approval; they are not automatic.
Nothing in this Section limits the Driver's statutory rights for a service that is defective or not delivered (RA 7394).
11. Overstay & Removal
Failure to vacate on time without an approved extension is an unauthorized occupancy. The Owner may seek towing, immobilization, or removal in accordance with the property's rules and applicable LGU/MMDA regulations, at the Driver's cost, and the Driver may be charged for the overstay as published on the platform. Neither the Owner nor Parada is a depositary of any towed or removed vehicle. The Owner and Driver shall document the situation and may escalate to Parada mediation under Section 21.
12. Damage and Liability
The Driver is liable to the Owner for damage caused by the Driver, the Driver's vehicle, or anyone acting for the Driver to the parking space, its access infrastructure (gates, RFID readers, barriers), or to other vehicles or property on the premises, except for ordinary wear and tear.
The Owner is liable to the Driver for damage to the Driver's vehicle only where the damage is directly caused by the Owner's own negligence or willful misconduct. The Owner is not liable for damage caused by other tenants, occupants, visitors, third parties, or acts of nature.
13. Vehicle Security and Insurance
The Owner does not act as a depositary, bailee, or custodian of the Driver's vehicle within the meaning of Articles 1962 to 1998 of the Civil Code. The Driver assumes the risk of parking and is solely responsible for securing the vehicle, including locking it, activating alarms, and removing valuables. This does not exclude the Owner's liability for the Owner's own proven negligence or willful misconduct.
Each party maintains its own insurance appropriate to its role. The Driver shall maintain the compulsory third-party liability (CTPL) insurance required under Republic Act No. 4136; comprehensive coverage on the vehicle is strongly recommended. Neither party is required to add the other as a named insured. Parada does not provide parking, custodial, or insurance services for shared parking.
14. Force Majeure
Neither party is liable for any failure or delay caused by events beyond its reasonable control, including typhoons, floods, earthquakes, fire, government-mandated lockdowns or evacuations, civil unrest, strikes, power outages, or acts of war or terrorism (each, a "Force Majeure Event"). If a Force Majeure Event prevents use of the parking space for the booked period, the Driver is entitled to a pro-rata refund of the unused parking fee through Parada's standard refund process, and neither party may claim further damages from the other.
15. Indemnification
Each party shall indemnify, defend, and hold harmless the other party (and, where applicable, Parada) from and against any third-party claims, losses, damages, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or relating to that party's breach of this Agreement, its negligence, or its willful misconduct.
16. Limitation of Liability
To the maximum extent permitted by Philippine law, each party's aggregate liability to the other for any claim arising out of this Agreement is limited to the total fees actually paid for the specific booking giving rise to the claim. Neither party is liable for indirect, consequential, special, incidental, punitive, or exemplary damages, including lost profits, even if advised of their possibility.
Nothing in this Section limits liability for death or personal injury caused by negligence, gross negligence, or willful misconduct, for fraud, or for any liability that cannot be excluded under Philippine law, including consumer-protection rights under RA 7394.
17. Parada as Marketplace
Parada operates a technology platform that connects Owners and Drivers. Parada is not a party to this Agreement, does not own, lease, control, or manage the parking space, and does not provide parking, custodial, valet, security, or insurance services. The Agreement is entered into directly and exclusively between the Owner and the Driver.
Parada's role is limited to: (a) listing the parking space; (b) facilitating booking and payment through accredited payment processors and remitting Owner payouts; (c) providing identity and residency verification; and (d) providing customer support and mediation under Section 21. Consistent with the Internet Transactions Act, Parada takes reasonable steps to verify Owners, will act on valid takedown or complaint requests, and provides an internal redress mechanism; it does not disclaim the responsibilities that Act imposes on marketplaces. Parada makes no representation or warranty as to the condition, safety, suitability, legality, or availability of any parking space, except as set out in its Terms and Conditions.
18. Data Privacy
Parada's collection, use, storage, and disclosure of personal information in connection with this Agreement is governed by Republic Act No. 10173 (the Data Privacy Act of 2012), its Implementing Rules and Regulations, and Parada's Privacy Policy. Each party consents to the limited disclosure of contact and booking details to the other party for purposes of fulfilling this Agreement.
19. Electronic Acceptance
This Agreement is entered into electronically. In accordance with Republic Act No. 8792 (the Electronic Commerce Act of 2000) and its Implementing Rules, electronic acceptance — including by completing the booking, paying through the platform, or accepting a booking request — has the same legal effect as a handwritten signature, and electronic records of the Agreement are admissible as evidence under the Rules on Electronic Evidence (A.M. No. 01-7-01-SC).
20. Governing Law
This Agreement is governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict-of-laws principles.
21. Dispute Resolution
The parties shall resolve any dispute in the following sequence:
- Direct discussion (within 5 calendar days). The aggrieved party notifies the other in writing via Parada messaging or email, and the parties attempt to resolve the dispute in good faith.
- Parada-facilitated mediation. If unresolved within seven (7) calendar days, either party may request mediation by Parada Customer Support at [email protected]. Parada's role is limited to facilitation and it has no obligation to render a binding decision.
- Small Claims. Where the principal amount claimed does not exceed the threshold under A.M. No. 08-8-7-SC (Rules of Procedure for Small Claims Cases), as amended, either party may commence a small-claims case in the appropriate first-level court.
- Regular Courts. Disputes outside the small-claims threshold, or not resolved through the above, may be brought before the competent courts of the Philippines. This does not limit a consumer's recourse to the DTI.
22. Venue
The proper venue for any judicial proceeding arising out of this Agreement is the court of competent jurisdiction in the city or municipality where the parking space is located, to the exclusion of all other venues, without prejudice to the rules on venue for small-claims and consumer cases.
23. Severability & Entire Agreement
If any provision is held invalid, illegal, or unenforceable, the remaining provisions remain in full force, and the invalid provision is interpreted or replaced to achieve, to the maximum extent permitted by law, the original intent of the parties.
This Agreement, together with the Parada Terms and Conditions, Refund & Cancellation Policy, Privacy Policy, and the booking confirmation, constitutes the entire agreement between the Owner and the Driver with respect to the booking. No oral representation or side agreement varies its terms unless accepted by both parties through the Parada platform.
